General provisions

§ 1

  1. The Foundation under the name Initiation of Development “up Foundation”, hereinafter referred to as the Foundation, established by Monika Hinc, hereinafter referred to as the Founder, by a notarial deed drawn up by notary Tomasz Binkowski in the notary’s office in Gdańsk, ul. Grunwaldzka 71/73 m 10, 80-241 Gdańsk, on 14.07.2011. operates on the basis of Polish law and these statutes
  2. The foundation is apolitical and not affiliated with any religion.
  3. The duration of the Foundation is unlimited.

§ 2

The Foundation has legal personality.

§ 3

The headquarters of the foundation is the city of Gdansk.

§ 4

  1. The area of activity of the Foundation is the area of the Republic of Poland, but to the extent necessary for the proper implementation of the objectives it may also conduct activities outside the borders of the Republic of Poland.
  2. The Foundation may, for the purposes of cooperation with foreign countries, use a translation of the name of the

  3. The Foundation may pursue its objectives through public benefit activities and, to support the realization of its statutory objectives, may conduct business activities.

§ 5

The Foundation may establish badges, medals of honor and award them, along with other prizes and awards, to individuals and legal entities of merit to the Foundation.

Objectives and principles of the Foundation.

§ 6

The objectives of the Foundation are:

  1. Activities to develop entrepreneurship, promote economic development and increase the integration of the business community.
  2. Activities to initiate cooperation between business, non-governmental sectors
    and local government.
  3. Research activities in the socio-economic area.
  4. Publishing activities in the area of socio-economic issues.
  5. Initiating and supporting innovative solutions in various areas of social and community life
    -economic.
  6. Popularization of the idea of voluntary work carried out for the benefit of various areas of social life
    -economic.
  7. Activities for the development of the idea of social economy and the growth of social inclusion.
  8. Improving staff, conducting educational activities related to the implementation of other listed statutory activities.
  9. Activities for the benefit of organizations whose statutory objectives coincide with those of the foundation and other organizations interested in benefiting from the foundation’s support.
  10. Activities for local development in the field of culture, ecology, tourism, physical culture
    and sports, education and education.
  11. Activities for the animation and development of culture and for the preservation of cultural property.
  12. Promotional activities related to the implementation of other listed statutory objectives.
  13. Developing and strengthening attitudes aimed at active cooperation in the development of civil society.

§ 7

The Foundation pursues its goals through:

  1. Information and promotion campaigns.
  2. Training, workshops, seminars, conferences, trade shows.
  3. Interactive forms of activation, among others. events / happenings.
  4. Consulting, advising, coaching.
  5. Conducting publishing and public relations activities.
  6. Conducting research, developing and publishing certain publications.
  7. Cooperation with local authorities, governmental authorities, NGOs and business

  8. Creation and implementation of projects.
  9. Organizing contests,
  10. Providing substantive, financial and organizational support to informal groups, NGOs and other entities listed in point. 3 of the Law on Public Benefit Activity and Volunteerism (Dz.U. 2003 No. 96 item 873)
  11. Creation, consultation, implementation and execution of programs, strategies and other documents, as well as creation, consultation, implementation of local laws.
  12. Conducting other activities conducive to the development of the organization’s statutory objectives.

§ 8

In order to achieve its objectives, the Foundation may support, including financially, the activities of other persons, institutions, organizations converging with its objectives.

Assets and income of the Foundation.

§ 9

The assets of the Foundation consist of its founding fund in the amount of PLN 4,000 and other property acquired by the Foundation in the course of its activities.

§ 10

The Foundation’s income may come, in particular, from:

  1. Donations, inheritances, bequests.
  2. Grants and subsidies and grants.
  3. Revenue from public collections.
  4. Income from business activities conducted by the Foundation.
  5. Income from the Foundation’s assets.

§ 11

  1. Income derived from grants, subsidies, donations, bequests and legacies may be used for the purposes of the Foundation only
    respecting the will of the heirs or donors.
  2. In matters of acceptance of donations and inheritance, statements required by law are made by the Board of Directors of the Foundation.
  3. When a foundation is called to inherit, its board of directors submits a declaration of acceptance of the inheritance with the benefit of inventory.

Foundation Authorities.

§ 12

The authorities of the foundation are:

  1. Foundation Board,
  2. Foundation Board.
  3. Members of the Foundation Council do not receive remuneration for participation in the work of this body,
    except for reimbursement of documented expenses related to participation in the work of these bodies, including travel expenses.

Foundation Board.

§ 13

  1. The Foundation Council is the Foundation’s decision-making, control and opinion-making body.
  2. The Foundation Board consists of up to five members.
  3. The members of the first composition of the Council are appointed by the Founder. The next members of the Council in place of those who have ceased to serve shall be appointed by the Council by its decision.
  4. Council members, in addition to the situation described in item. 5 of this paragraph, are appointed for an unlimited period of time.
  5. Members of the Council may be dismissed before the expiration of their term of office. In particularly justified cases, the dismissal of a member of the Council and thus depriving him of membership in the Council, may be carried out as a result of a resolution adopted unanimously by the remaining members of the Foundation Council. The founder may not be deprived of membership in the Foundation Council in this way.
  6. Membership in the Council of the Foundation shall cease in the event of written resignation from membership, death of a member of the Council, or in accordance with the procedure described in item. 5 of this paragraph.
  7. Foundation Board Members:
  • may not combine membership in the Council of the Foundation with serving on the Board of Directors of the Foundation or with an employment relationship with the Foundation,
  • may not be in a relationship of consanguinity, affinity or subordination by virtue of employment with the members of the Foundation’s Board,
  • must not have been convicted by a final judgment of crimes of intentional guilt.
  1. If a member of the Foundation Council is appointed, with his/her consent, to the Foundation Board, or if a member of the Foundation Council enters into an employment relationship with the Foundation – such person’s membership in the Foundation Council shall be suspended, respectively, for the duration of the function or employment relationship.
  2. The Council elects from among its members the Chairman of the Council. The Chairman of the Council directs the work of the Council, represents it externally, and convenes and presides over Council meetings.

§ 14

  1. The Foundation Council meets, at least twice a year.
  2. The Foundation Council is convened by the Chairman of the Council on his own initiative or at the request of the Board of Directors or the Founder, reported at least by e-mail.
  3. The Council of the Foundation makes decisions in the form of resolutions – a simple majority of votes, in the event of a tie, the Chairman’s vote is decisive.

§ 15

The Council’s tasks include, in particular:

  1. Appointment and dismissal of the President of the Foundation.
  2. Deciding on the employment of the President of the Foundation and setting his salary.
  3. Evaluating the work of the President of the Foundation, accepting the annual report or balance sheet and discharging the President and members of the Board.
  4. Controlling the day-to-day activities of the President of the Foundation.
  5. Setting the main directions of the Foundation’s activities.
  6. Supervision of the Foundation’s activities.
  7. Deciding, at the request of the President of the Foundation, to merge with another Foundation or to liquidate the Foundation.

§ 16

The Foundation Board, in order to perform its tasks, is authorized to:

  1. Demand from the President of the Foundation the production of all documents relating to the activities of the Foundation.
  2. To review the assets and financial control of the Foundation.

Foundation Board.

§ 17

  1. The Board of Directors of the Foundation is one person, represented by the President of the Foundation.
  2. The Foundation Board is appointed by the Foundation Council, except for the appointment of the first Board, which is done by the Founder.
  3. The president is appointed for an indefinite period.
  4. The President of the Foundation may be dismissed by the Foundation Council by a resolution adopted unanimously by all members of the Council.
  5. In justified cases, the President of the Foundation may resign from his post by submitting his resignation to the Chairman of the Foundation Council.

§ 18

  1. The President of the Foundation directs the activities of the Foundation and represents it externally.
  2. The tasks of the President of the Foundation include, in particular:
  • Adoption of the Foundation’s annual operating and financial plans,
  • enacting bylaws,
  • Exercise management of the Foundation’s assets,
  • Determining the size of the workforce and the amount of funds for the salaries of the Foundation’s employees,
  • Making decisions on all matters not delegated to other bodies,
  • Accepting donations, inheritances and bequests, subsidies and grants,
  • requesting and approving amendments to the Articles of Association of the Foundation, merger
  • with another Foundation and the liquidation of the Foundation.

(3) The President of the Foundation makes decisions in the form of resolutions.

(4) The President of the Foundation may appoint proxies to manage a separate sphere of matters belonging to the tasks of the Foundation.

(5) The President of the Foundation every year, is obliged to submit to the Foundation Council an Annual Report on the activities of the Foundation.

Method of Representation

§ 19

  1. Representation of the Foundation is one-person.
  2. Declarations of intent on behalf of the Foundation may be made by the President of the Foundation in one person.

(2) Business activities may be conducted by the Foundation directly or in the form of a separate organizational unit on the basis of regulations adopted by the Board of Directors.

Amendment of the Articles of Association

§ 21

Amendments to the Articles of Association of the Foundation are made by the Council of the Foundation with the approval of the President of the Foundation. Amendments to the Articles of Association may relate to the objectives for the implementation of which the Foundation was established and specified in the founding act, as well as legal and formal aspects related to the activities of the Foundation.

Merger with another foundation.

§ 22

  1. The foundation may merge with another foundation for the effective realization of its goals.
  2. A merger with another foundation may not take place if, as a result, the objectives of the foundation could be significantly altered.

§ 23

Liquidation of the Foundation.

§ 24

The foundation is liquidated when the objectives for which it was established are achieved, when its financial resources and assets are exhausted, or when the objectives pursued by the foundation are no longer consistent with the original purposes for which the foundation was established.

(2) The liquidators of the Foundation shall be appointed and dismissed by the Foundation Council, with the exception of § 25, item. 2.

§ 25

  1. The decision to liquidate is made by the President of the Foundation by means of a resolution which, in order to have legal effects, requires the approval of the Foundation Council, except for § 25, item. 2.
  2. In special cases, such as when the Foundation undertakes activities for which it was not created, the Founder has the right to liquidate the Foundation. In this case, the decision does not require the approval of the President of the Foundation or the Council of the Foundation.

§ 26

The financial resources and assets remaining after the liquidation of the Foundation may be allocated by resolution of the Foundation Council to foundations operating in the Republic of Poland with similar objectives.
